These Terms of Service (the “Terms”) govern your access to and use of the easy-daw web application, APIs, and related services (the “Service”), provided by Josiah Gibson, a Nebraska sole proprietor doing business as “easy-daw” (“easy-daw,” “we,” or “us”). easy-daw is operated by Josiah Gibson, a Nebraska sole proprietor doing business as "easy-daw." easy-daw is not a corporation, LLC, partnership, or other separate legal entity. The trade name “easy-daw” is not currently registered as a Nebraska trade name — this is a factual disclosure, not an admission of any obligation, and does not affect the validity of these Terms. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service. Viewing our public marketing pages or artwork alone is not, by itself, acceptance of these Terms — acceptance requires the affirmative steps described in Section 2A.
You must be at least 13 years old to use the Service. If you are under 18 you represent that a parent or legal guardian has reviewed these Terms on your behalf. You may not use the Service if you are barred from doing so under U.S. law or the law of your jurisdiction.
Passive browsing of our homepage, public demonstrations, or artistic presentation is not acceptance of these Terms. You affirmatively accept these Terms (and the Privacy Policy, Subscription & Billing Policy, Refund Policy, and AI Transparency Notice) by checking the consent box shown at account creation, at the start of a paid trial, at purchase, or at AI-credit purchase. We keep a timestamped record of the exact wording, document versions, and your account/session identifiers each time you do this.
easy-daw is a browser-based digital audio workstation. The Service today provides:

easy-daw is both a functional digital audio workstation and an evolving original creative software work conceived and directed by Josiah Gibson, a Nebraska sole proprietorship doing business as easy-daw. The Service's interface, creative direction, audio tools, educational materials, demonstrations, collaborative environments, experimental elements, community interactions, and continuing development may collectively form part of a living and participatory art experience.
Subject to these Terms, you may experience and participate in available parts of that continuing creative project through the Demo account or a selected Creator, Pro, or Studio subscription. Different access levels provide different software features, storage allowances, AI credits, collaboration capabilities, project capacities, exports, sharing tools, administrative controls, and other digital services identified on the applicable pricing or checkout page.
References to “participation,” “membership,” “access,” “experience,” or the “living art project” describe easy-daw's creative character and your licensed access to available portions of the Service. They do not change the commercial nature of a paid subscription or AI-credit purchase. You are purchasing access to the digital services and features identified at checkout, subject to the recurring-billing, cancellation, refund, tax, privacy, and consumer-protection terms disclosed in these Terms and the linked policies.
Participation does not make you a coauthor, co-owner, partner, joint venturer, employee, agent, investor, shareholder, beneficiary, fiduciary, or representative of easy-daw or Josiah Gibson. Payment, feedback, testing, suggestions, community activity, collaboration, or other participation does not create equity, royalties, revenue sharing, profit participation, voting rights, governance rights, ownership rights, publication rights, guaranteed attribution, compensation, or any other financial or proprietary interest in easy-daw.
easy-daw retains ownership of its software, design, branding, documentation, original creative presentation, service structure, and other provider-created intellectual property. You retain ownership of your own qualifying music, recordings, compositions, project files, uploaded content, and other original User Content as stated in Section 4.
No subscription level guarantees that you will control easy-daw's creative direction, that a requested feature will be developed, that any particular feature will remain permanently available, or that participation will produce artistic, technical, commercial, financial, or professional results. Nothing in this section permits easy-daw to misrepresent the Service, conceal automatic renewal or material payment terms, avoid taxes or legal obligations, disclaim an express written commitment, or limit any right or remedy that applicable law does not permit to be waived.
easy-daw's artistic presentation, demonstrations, examples, educational materials, AI-assisted suggestions, experimental features, promotional content, and creative descriptions form part of the overall easy-daw experience. Except for express commitments contained in these Terms, an applicable order/subscription confirmation, or a separate written agreement signed by Josiah Gibson, demonstrations, examples, artistic descriptions, opinions, projections, testimonials, AI-assisted suggestions, and general promotional statements do not guarantee that you will achieve a particular artistic, technical, commercial, financial, or professional result. Nothing in this section permits easy-daw to make false or misleading factual claims, disclaim an express written commitment, misrepresent a paid feature, or limit any right or remedy that applicable law does not permit to be waived. easy-daw is not “only” an art piece — it is a functioning commercial software service, and its creative framing never contradicts the pricing, feature, privacy, security, or subscription disclosures elsewhere in these Terms.
“User Content” means any audio, MIDI, images, project files, comments, feedback, or other material you upload to or create using the Service.
Your use of the Service is subject to the Acceptable Use Policy. Violations may result in suspension or termination of your account.
Paid plans, the 7-day card-required trial, and AI credits are governed by the Subscription & Billing Policy and the Refund & Cancellation Policy. Payments are processed by Stripe, Inc.; easy-daw does not store your full payment card number. A trial automatically converts into a paid subscription at the displayed monthly price unless canceled before the trial ends; you may cancel directly, at any time, with no retention call required.
The Service's software, design, logos, and marketing copy are the property of easy-daw or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms grants you a license to those assets, except the limited right to use the Service in accordance with these Terms.
Your use of the Service also involves these third parties on the terms they publish. We select them for reliability but do not control their infrastructure.
easy-daw is an actively developed, continuously improving service. Some features may change, be temporarily unavailable, or be reworked; the desktop Companion app is separately labeled beta. We make reasonable efforts to notify users of material changes.
To the maximum extent permitted by applicable law, easy-daw and associated software, content, AI-assisted features, DSP tools, collaboration features, storage, exports, downloads, participatory elements, and services are provided “as is” and “as available.” No guarantee is made that the Service will be uninterrupted, error-free, compatible with every device, browser, operating system, audio interface, or third-party plug-in, or that any mix, master, analysis, suggestion, participatory experience, or result will satisfy a particular creative, technical, or commercial purpose. To the maximum extent permitted by law, easy-daw disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. These disclaimers do not apply to express warranties or statutory rights that cannot lawfully be excluded.
You remain responsible for reviewing, auditioning, approving, saving, backing up, and exporting your work. AI-assisted analyses and suggestions are informational and creative tools, not professional legal, financial, medical, or guaranteed audio-engineering advice. You are responsible for confirming you have sufficient rights to upload, process, collaborate on, share, and distribute submitted material.
To the maximum extent permitted by applicable law, Josiah Gibson, doing business as easy-daw, will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, lost revenue, lost opportunities, loss of goodwill, or loss or corruption of data, arising from or relating to the Service, even if advised such damages may be possible. To the maximum extent permitted by law, total aggregate liability arising from or relating to the Service will not exceed the greater of (a) the amount you paid to easy-daw in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars. These limitations do not apply to liability that cannot lawfully be limited or excluded, including fraud, willful misconduct, gross negligence, personal injury, violation of nonwaivable privacy or consumer rights, or other liability applicable law requires to remain available. We do not present this cap as guaranteed enforceable in every jurisdiction.
You agree to defend and indemnify easy-daw against any claim by a third party arising from your User Content or your breach of these Terms, including reasonable attorneys' fees.
We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination we will make a reasonable effort to allow you to export your projects before deleting them; see the Privacy Policy for our data retention windows.
These Terms are governed by the laws of the State of Nebraska, United States of America, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Douglas County, Nebraska, unless applicable consumer-protection law in your state of residence requires a different venue or grants you rights these Terms cannot waive. Nebraska law governing this contract does not eliminate protections available to you under the law of California, another U.S. state, the EU/EEA, the UK, Canada, Australia, or elsewhere.
Before beginning litigation, you and easy-daw agree to make a good-faith attempt to resolve any dispute informally. The initiating party must send written notice to Josiahgenesis@easy-daw.com describing the facts, the requested resolution, and enough identifying information for us to investigate. The parties will have thirty (30) days after receipt of a complete notice to attempt resolution before filing suit. This does not prevent urgent relief, an eligible individual small-claims action, a government complaint, participation in a government investigation, or exercise of a right that law does not allow to be delayed or waived.
Nothing in these Terms waives or limits any privacy, security, subscription, cancellation, refund, warranty, consumer-protection, or other right that applicable law does not permit to be waived. If a provision is held unlawful or unenforceable, it will be enforced to the maximum lawful extent or severed as applicable without invalidating the remainder, except where law requires a different result.
We may revise these Terms from time to time. Material changes will be signaled by bumping the version number at the top of this document and, where practical, by requesting fresh consent on your next login. Continued use of the Service after a change constitutes acceptance of the revised Terms.
